We are HeGo3rip Limited, a company duly registered under the laws of the Federal Republic of Nigeria. Our registered office is located at Plot 25/26 Makanjuola Layout, Akobo, Ibadan.

PLEASE READ AND REVIEW THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.

2. LANGUAGE

The governing language of these Terms and all communications between HeGo3rip Limited and you shall be English.

3. WHO CAN USE OUR SERVICES

You may use the Services only if you agree to enter into a binding contract with HeGo3rip Limited and are not prohibited from accessing our Services under the laws of your jurisdiction. If you are accepting these Terms and using the Services on behalf of a company, business, or organization, you represent and warrant that you have the authority to act on their behalf.

4. AGE RESTRICTION

Our website and Services are directed to people from the ages of 18 and above. You are only permitted to use the Services if you are aged 18 or older. We do not knowingly engage people younger than the age of 18.

5. INTELLECTUAL PROPERTY

Unless otherwise stated, HeGo3rip Limited and/or its licensors own all intellectual property rights and materials provided through our Services, including our website. This includes, but is not limited to, text, formatting (such as the arrangement of materials on our website), graphics, animations, tools, music, videos, articles, sounds, trademarks, logos, trade names, and other materials or information (collectively, the “Content”).

We do not grant you any right, license, title, or interest in any of our intellectual property rights. The Content must not be copied, reverse-engineered, decompiled, disassembled, modified, or reposted to other websites or platforms without our express written consent.

Nothing on the HeGo3rip Limited website or within our Services should be interpreted as granting, by implication or otherwise, any license or right to use any trademark displayed on our website or Services without the prior written permission of HeGo3rip Limited or the respective third-party trademark owner.

You agree to take any actions necessary, including providing legal or official documentation, to affirm and protect our intellectual property rights.

We welcome your feedback, ideas or suggestions hereafter known as (“Feedback”), how ever you agree that we may use your Feedback without any restriction or obligation to you, even after this Agreement is terminated.

We may provide templates or other products featuring demo content including without limitation text, photos, logos, mockups, images, graphics,animations, audio, video and other materials (“Demo Content”), to provide you with ideas or inspiration. However, Demo Content is for private use only (unless we tell you otherwise). You agree that you will not distribute, publicly display, publicly perform or otherwise publish any Demo Content (or any portion thereof).

6. YOUR CONTENT

When you provide or upload content on your website, you own it. You do however give us permission to use it in the ways necessary to provide our services. For example, when you upload a photo, you give us the right to save it, and also to display it on your site at your direction. We also may promote or feature a section of your site, but you can opt out if you don't wish us to do that.

Users of the Services may provide us with content, including without limitation to text, photos, images, audio, video, code and any other materials hereafter known as(“User Content"). Your User Content stays yours. These Terms don't give us any rights to User Content, except for the limited rights that enable us to provide, improve, promote and protect the Services as described herein.

When you provide User Content via the Services, you grant HeGo3rip a non-exclusive, worldwide, perpetual, royalty-free, sublicensable, transferable right and license to use, host, store, reproduce, modify, create derivative works of (such as those resulting from translations, adaptations or other changes we make so that User Content works better with the Services), communicate, publish, publicly display, publicly perform and distribute User Content for the limited purposes of allowing us to provide, improve, promote and protect the Services.

We may use in perpetuity, worldwide and free of charge, any version of your sites (as defined below), or any portion thereof, for the limited purpose HeGo3rip marketing and promotional activities. For example, we may feature your sites on our Templates page, or on our social media accounts. This can result in improved traffic to your sites. You waive any claims against us relating to any moral rights, artists’ rights or any other similar rights worldwide that you may have in or to your sites, and any right of inspection or approval of any such use of your sites. If you don't want your sites featured, you can opt out at anytime via the Services or by contacting hello@hego3rip.com.

7. YOUR RESPONSIBILITIES

You are responsible for the content you publish on websites designed by HeGo3rip, you also vouch to us that it is all okay to use. We also ask that you follow our rules and don't do anything illegal on your websites/blogs. Also take note that we cannot provide legal advice about your conducts.

You represent that you own all rights to your User Content or otherwise have (and will continue to have) all rights and permissions to legally use, share, display, transfer and license your User Content via the Services. If we use your User Content in the ways contemplated in this Agreement, you represent that such use will not infringe or violate the rights of any third party, including without limitation any copyrights, trademarks, privacy rights, publicity rights, contractual rights or any other intellectual property or proprietary rights. Content on the Services may be protected by others' intellectual property or other rights, so please don't copy, upload, download or share content unless you have the right to do so.

You are responsible for your conduct and User Content, and you must comply with our Acceptable Use Policy. We may review your conduct and User Content for compliance with these Terms and our Acceptable Use Policy. With that said, we have no obligation to do so. We’re not responsible for User Content.

You understand and agree that your sites and your End Users are your responsibility, and you’re solely responsible for compliance with any laws or regulations related to your sites and your End Users, including without limitation the posting of your own Privacy Policy. We’re not liable for, and won’t provide you with any legal advice regarding, your sites or your End Users.

8. WEBSITE LICENSE

HeGo3rip Limited grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our website strictly in accordance with these Terms. This license is provided solely for personal or business purposes directly related to the use of our Services and does not transfer any ownership or intellectual property rights to you.

You are not permitted to:

- Republish, sell, rent, or sub-license material from our website.

- Reproduce, duplicate, copy, or exploit any part of our website for commercial purposes without explicit written permission from HeGo3rip Limited.

- Use our website in a manner that could damage, disable, overburden, or impair it, or interfere with any other party’s use and enjoyment of the website.

HeGo3rip Limited reserves the right to revoke this license at any time if you breach these Terms or use the website in a manner that violates any applicable laws or regulations.

HeGo3rip Limited strives to maintain the availability and smooth operation of our website and Services. However, we cannot guarantee that they will always be accessible or free from issues. Your use of our Services is entirely at your own risk.

11. INDEMNIFICATION

You agree to indemnify and hold harmless HeGo3rip Limited, its employees, affiliates, and partners from any and all losses, damages, costs, liabilities, and expenses, including but not limited to reasonable legal fees, arising from your breach of any provision of these Terms or from any claim that you have violated these Terms. Additionally, you will indemnify HeGo3rip Limited against any claims, suits, or legal proceedings arising from your use of the Services, including violations of intellectual property or other third-party rights.

12. BREACH

Without limiting any other rights HeGo3rip Limited may have under these Terms if you breach any of these Terms, HeGo3rip Limited reserves the right to take any action it deems necessary to address the breach. This may include suspending or terminating your access to the website and Services, blocking your IP address from accessing the website, contacting your internet service provider to request the blocking of your access, or pursuing legal action against you

13. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. You agree to submit to the non-exclusive jurisdiction of the courts in Nigeria for the resolution of any disputes arising from or in connection with these Terms.

14. DESIGN TERMS

HeGo3rip expects all intended specifications to be provided before a design project is commenced. Specifications and intentions help us plan the course of a project including costs. Providing specifications after commencement of a project (altering the scope of work) would extend project completion time and attract extra charges.

HeGo3rip is not required to make improvements or updates to any website outside agreement made before project commencement. HeGo3rip is only responsible for fixing problems with modules which are included in the original scope of work. If modules are required to work or function differently from its original specification, extra charges will be incurred.

The duration for a logo design is 7 days. Specifications can be reviewed within a 24 hour period after which additional specifications such as change of name shall attract extra charges or a design time extension.

15. DATA PRIVACY AND PROTECTION

HeGo3rip Limited understands the importance of safeguarding the privacy of individuals who visit and use our Services. We are committed to complying with all relevant data protection laws, including the Nigeria Data Protection Act 2023 and any applicable regulations in force.

All personal information collected by HeGo3rip Limited, whether provided by you or processed in connection with our Services, will be handled in accordance with the relevant data protection laws. This includes compliance with the Nigeria Data Protection Act 2023 and other applicable data protection regulations.

16. PROHIBITIONS

HeGo3rip Limited reserves the right to refuse service to customers involved in any of the following activities:

- Adult services or content

- Binary options trading

- Cryptocurrencies or virtual currency transactions

- Dating or marriage-related websites

- Dealers in precious metals, jewels, or stones

- Drugs and/or drug paraphernalia

- Electronics

- Foreign exchange (FX) marketing

- Gambling, gaming, or betting operations

- Sale or distribution of medical devices

- Online sale of prescription drugs or dietary supplements

- Tobacco and tobacco-related products

- Firearms, weapons, ammunition, gunpowder, fireworks, explosives, chemicals, or any related devices

If you are engaged in any of the above activities, we will not provide our Services to you, and we may suspend or terminate your access to the platform at our discretion.

HeGo3rip Limited reserves the right to update, amend, or modify these Terms at any time by posting the updated version on this page. Any changes made will not be retroactive, and the most current version of the Terms will always govern our relationship with you. We will make reasonable efforts to notify you of significant changes, which may be communicated through the email associated with your account or through service notifications. By continuing to use our Services after such changes take effect, you agree to be bound by the revised Terms.
